SPONSOR READINESS LIBRARY
Better prepared.
Better understood.
Practical notes for sponsors preparing a serious capital conversation. These guides are general educational material, not transaction, investment or legal advice.
GUIDE 01 / CAPITAL CLARITY
Build a sources-and-uses
schedule that reconciles.
The schedule should explain both where money is expected to come from and precisely what it will pay for. The two sides should balance for each phase, not just for the project as a whole.
- Separate committed sources from proposed or conditional sources.
- Identify cash already invested and avoid double-counting it as new capital.
- Include fees, reserves, contingencies and financing costs where relevant.
- Tie the timing of each use to the implementation schedule.
- Reconcile the schedule to the financial model and capital request.
Useful question: if one proposed source arrives late, which milestone stops and what funds the gap?

GUIDE 02 / EVIDENCE
A pitch deck is not a diligence file.
A deck communicates the story. A diligence file supports the story with evidence. Keep a clear index so the review team can find the document behind each material assertion.
Corporate
Ownership, authority, management and the legal entities involved.
Economic
Statements, model, assumptions, contracts and the sources-and-uses schedule.
Execution
Permits, site control, delivery plan, counterparties and the critical path.
Maintain version dates and a single point of contact. If an item is pending, say so directly instead of presenting a draft as final.
GUIDE 03 / EXPECTATIONS
Know what each stage
does and does not mean.
Introduction
A conversation
An introduction creates an opportunity to assess fit. It is not a commitment from a capital source.
Indication
A conditional discussion
Indicative terms may describe a potential structure. Their effect depends on the document and its express conditions.
Commitment
A documented obligation
Only the relevant signed documents and satisfied conditions establish the parties’ actual obligations. Obtain professional advice on their effect.
